What's the Best State to Form an LLC for Stripe and US Banking?
By Andres Platts · August 11, 2026 · 4 min read
Quick answer
For Stripe and US banking, the state barely moves the needle. What actually decides approval is documentation consistency, a real EIN, and clean risk signals.
For Stripe and US banking purposes, the state you form your LLC in barely matters. Approval depends on document consistency, a real EIN, a US bank account, and clean risk signals, not on choosing Delaware, Wyoming, or any other specific state.
That answer surprises most founders who arrive already convinced the state is the decision that determines everything downstream.

Does Stripe Care Which State Your LLC Is Formed In?
Not directly. Stripe's underwriting does not weight Delaware over Wyoming, or Wyoming over Florida. What it does check closely is that your LLC name and formation state match your Certificate of Formation exactly, letter for letter, comma for comma. A mismatch between what you type into the application and what your formation documents say is a real rejection cause, but it has nothing to do with which state you picked.
What Actually Determines Whether Stripe Approves You?
A valid EIN tied to the LLC, a US business bank account in the entity's name, and a business address consistent across every document you submit. Stripe requires the bank account to be in the same country as the entity, so a US LLC needs US banking before Stripe becomes usable in the first place. That ordering, LLC, then EIN, then bank account, then Stripe, matters more than the state on the Certificate of Formation.
Why Do Wyoming, Delaware, and New Mexico Come Up So Often?
Cost and formation speed, not banking advantage. Wyoming and New Mexico charge low or no annual report fees and have no state income tax, which reduces the ongoing paperwork a non-resident founder has to track. Delaware's court system and formation infrastructure make it the default for anyone who might raise investment later. None of that changes how a bank or Stripe evaluates your application, it changes how much friction you deal with after formation.

What Actually Gets Non-Resident Founders Rejected?
A combination of risk signals arriving together: a foreign IP address at signup, a virtual or PO box address with no other footprint, a brand-new LLC with no domain history, and no prior transaction history anywhere. Any one of these alone is common and rarely fatal. Stacked together, they read as exactly the pattern automated risk models are built to catch. A real business address, a live website that predates the application, and a US bank account already funded before you apply all weaken that pattern individually.
Does the State Matter More for Opening a Bank Account?
Slightly, and only through a side door. Some banks and fintech platforms have stronger existing relationships or faster onboarding with certain registered agent networks, and those networks concentrate in Delaware, Wyoming, and a handful of other formation-friendly states simply because that is where the volume already is. It is a practical convenience, not a rule, and it disappears entirely once your registered agent and business address are set up correctly regardless of state.
So Which State Should You Actually Pick?
Pick based on ongoing compliance cost and what you expect the company to do next, not banking access. If you plan to keep things simple with minimal annual filings, Wyoming or New Mexico keep the paperwork light. If outside investment or a sale is plausible within a few years, Delaware's legal infrastructure is worth the extra state filing. If your business will have a genuine physical presence in a specific state, forming there directly often avoids a foreign-qualification filing you would otherwise need.
